These Terms of Service ("Terms") govern your use of the NSX Solutions website at nsxsolutions.com and any consulting, development, or marketing services provided by NSX Solutions ("we," "us," or "our"). By accessing this website or engaging our services, you agree to be bound by these Terms.

1. About Our Services

NSX Solutions is a consulting and development firm. Our services include but are not limited to:

  • ERP migrations — planning and executing transitions between accounting and business management platforms (e.g., QuickBooks to NetSuite).
  • Systems integrations — connecting platforms such as NetSuite, Stripe, ShipStation, Shopify, and internal tools via custom-built integrations.
  • Custom development — building SuiteScript workflows, ecommerce storefronts, customer portals, dashboards, and other web-based applications.
  • Digital marketing — managing advertising campaigns on platforms including Google Ads.

All service engagements are subject to separate written agreements (such as a statement of work or service agreement) between NSX Solutions and the client.

2. Use of This Website

You agree to use this website only for lawful purposes and in a manner that does not infringe on the rights of others. You may not:

  • Attempt to gain unauthorized access to any part of this website or its underlying systems.
  • Use automated tools to scrape, crawl, or extract content without permission.
  • Submit false, misleading, or spam content through the contact form.
  • Transmit malicious code or interfere with the website's operation.

3. Client Engagements and Scope of Work

The specific scope, deliverables, timeline, and fees for any project are defined in the applicable service agreement or statement of work between NSX Solutions and the client. These Terms provide the general framework but do not replace or modify any signed agreement. In the event of a conflict, the terms of a signed service agreement take precedence.

Clients are responsible for:

  • Providing timely access to systems, data, and personnel required to complete the engagement.
  • Ensuring they have the legal right to share any data or grant system access provided to NSX Solutions.
  • Reviewing and approving deliverables within the timeframes outlined in the service agreement.

4. Data Usage and Responsibilities

Our handling of personal and client data is described in our Privacy Policy. By engaging our services or submitting information through this website, you acknowledge that:

  • The information you provide is accurate and truthful.
  • You consent to NSX Solutions storing and processing this information as described in our Privacy Policy.
  • You are responsible for any content or data you provide.

During client engagements, NSX Solutions may access, process, or migrate business data on your behalf. We treat all client data as confidential and use it only to deliver the services described in the applicable agreement. We do not use client data for our own commercial purposes, share it with unrelated third parties, or retain it beyond the engagement without written consent.

5. Google Ads and Third-Party Platform Services

Where NSX Solutions manages advertising campaigns or third-party platform accounts on behalf of a client:

  • The client retains ownership of all accounts, data, and assets within those platforms.
  • NSX Solutions acts as an authorized agent performing work on the client's behalf.
  • The client is responsible for ensuring they have the legal right to advertise their products or services and that their accounts comply with the respective platform's policies.
  • All Google Ads data accessed by NSX Solutions is handled in compliance with the Google API Services User Data Policy, including the Limited Use requirements.
  • Campaign performance data and reports are shared only with the authorized client.
  • Clients may revoke NSX Solutions' access to any third-party platform at any time.

6. Intellectual Property

All content on this website — including text, graphics, logos, images, and code — is the property of NSX Solutions and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our written consent.

Ownership of deliverables created during client engagements (such as custom code, configurations, or documentation) is defined in the applicable service agreement.

7. Confidentiality

NSX Solutions treats all non-public information received during client engagements as confidential. We will not disclose confidential client information to third parties except as required by law or as authorized in writing by the client. This obligation survives the termination of any engagement.

8. Limitation of Liability

This website and its content are provided "as is" without warranties of any kind, whether express or implied. NSX Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use of this website.

For client service engagements, liability is governed by the terms of the applicable service agreement. In the absence of a specific agreement, NSX Solutions' total liability for any claim shall not exceed the fees paid by the client for the services giving rise to the claim.
